CoolSense Terms and Conditions

These Terms and Conditions govern the sale, delivery, installation, and servicing of air conditioners (HVAC systems), generators, and solar solutions provided by Skl Corporation, a sister concern of the Skl Group, under the brand name CoolSense. By engaging with CoolSense for the purchase or service of any equipment, including but not limited to air conditioning units (HVAC), generators, and solar solutions, the customer agrees to abide by these terms. These terms are designed to ensure clarity, transparency, and mutual understanding between CoolSense and its valued customers. The following sections outline the obligations, responsibilities, and expectations for both parties, ensuring a smooth and professional business relationship.
CoolSense is committed to delivering high-quality products and services, including energy-efficient air conditioning systems, reliable generators, and sustainable solar solutions, to meet the diverse needs of residential, commercial, and industrial clients. These terms apply to all transactions, whether for individual products, bundled solutions, or maintenance services, and are intended to protect both the customer and CoolSense.
2. Definitions
For clarity, the following terms used in this document have specific meanings:
- Customer: The individual, company, or entity purchasing or receiving services for air conditioners (HVAC), generators, or solar solutions from CoolSense.
- Equipment: Refers to air conditioning units (HVAC systems), generators, solar panels, inverters, batteries, or any related components supplied by CoolSense.
- Warranty Period: The duration during which CoolSense guarantees the performance of the equipment, subject to the conditions outlined herein.
- Work Order: A formal document issued by the customer authorizing CoolSense to proceed with the supply, installation, or service of equipment.
- Routine Maintenance: Regular servicing, including filter cleaning, system checks, and other preventive measures, required to maintain equipment functionality.
3. Warranty
3.1 Air Conditioners (HVAC Systems)
CoolSense provides a comprehensive warranty for its HVAC systems to ensure customer satisfaction and product reliability:
- Compressor Warranty: A 6-year official warranty is provided on the compressor of all HVAC units. This warranty covers manufacturing defects and operational failures under normal usage conditions.
- Accessories Warranty: A 1-year free service warranty is provided for accessories, including but not limited to remote controls, thermostats, and electrical components.
- Exclusions: The warranty does not cover routine maintenance tasks, such as filter cleaning, or issues arising from:
- Power failures or electrical surges.
- Misuse or improper handling of the equipment.
- Lack of routine maintenance as specified.
- Operator error or unauthorized modifications.
- Maintenance Requirement: To maintain the validity of the warranty, customers must arrange routine maintenance every four (4) months at their own cost. This maintenance must be performed by a recognized air conditioning service company with trained and certified staff. Proof of maintenance, such as service receipts or reports, may be required before warranty-related service visits are conducted.
3.2 Generators
CoolSense offers warranties for its generators to ensure dependable power solutions:
- Engine Warranty: A 5-year warranty is provided on the generator’s engine, covering defects in materials or workmanship.
- Accessories Warranty: A 1-year free service warranty applies to generator accessories, such as control panels, fuel systems, and alternators.
- Exclusions: Similar to HVAC systems, the warranty does not cover:
- Routine maintenance tasks, such as oil changes, filter replacements, or fuel system cleaning.
- Damage due to improper fuel usage, overloading, or failure to follow operating guidelines.
- Issues caused by power surges, environmental factors, or lack of maintenance.
- Maintenance Requirement: Generators require routine maintenance every six (6) months by a qualified service provider at the customer’s expense. Proof of maintenance may be required for warranty claims.
3.3 Solar Solutions
CoolSense’s solar solutions, including solar panels, inverters, and batteries, come with the following warranties:
- Solar Panels: A 25-year performance warranty guarantees that panels will produce at least 80% of their rated power output under standard conditions, alongside a 10-year warranty for manufacturing defects.
- Inverters and Batteries: A 5-year warranty covers inverters and batteries, ensuring functionality and performance.
- Exclusions: The warranty does not cover:
- Damage due to improper installation, environmental factors (e.g., hail, lightning), or misuse.
- Routine cleaning or maintenance of solar panels.
- Issues arising from unauthorized modifications or repairs.
- Maintenance Requirement: Solar panels must be cleaned and inspected every six (6) months by a qualified technician at the customer’s cost. Batteries and inverters require annual checks to ensure optimal performance. Proof of maintenance is required for warranty claims.
3.4 General Warranty Conditions
- Warranty Activation: Warranties are activated upon delivery and proper installation of the equipment, provided all payment terms are met.
- Transferability: Warranties are non-transferable and apply only to the original purchaser.
- Claims Process: To initiate a warranty claim, customers must contact CoolSense with proof of purchase and maintenance records. CoolSense reserves the right to inspect the equipment before approving claims.
- Repairs and Replacements: Under warranty, CoolSense will repair or replace defective components at its discretion. Replacement parts may be new or refurbished but will meet original performance standards.
- Voiding of Warranty: Failure to adhere to maintenance schedules, unauthorized repairs, or misuse will void the warranty.
4. Mode of Payment
Payment terms for all CoolSense products and services are as follows:
- Initial Payment: 80% of the total quoted amount must be paid upon issuance of a valid work order. This payment confirms the order and initiates the delivery or installation process.
- Final Payment: The remaining 20% of the total amount is due upon completion of the work, including delivery, installation, and testing of the equipment.
- Payment Methods: Payments can be made via bank transfer, cheque, or other methods specified by CoolSense. All payments must be made in the currency quoted in the price offer.
- Late Payments: Late payments may incur penalties or interest as per applicable laws and may delay delivery or installation.
- Work Order: Payments must reference the work order number and be made payable to ‘Skl Corporation’.
5. Delivery
5.1 Delivery Place
- Location: All equipment, including HVAC systems, generators, and solar solutions, will be delivered to the customer’s specified site.
- Inspection: The customer or their representative may inspect the equipment or parts at the time and place of unloading. However, there is no obligation to break packaging or unpack items intended for storage before use.
- Risk of Loss: The risk of loss or damage to the equipment transfers to the customer upon delivery to the specified site. Customers are advised to ensure proper handling and storage upon receipt.
5.2 Delivery Time
- Timeline: Delivery will occur within 15 working days after encashment of the initial payment as per the work order.
- Installments: CoolSense reserves the right to deliver goods in installments, particularly for large orders or multi-component systems (e.g., solar solutions with panels, inverters, and batteries).
- Delays: CoolSense will make reasonable efforts to meet delivery timelines but is not liable for delays caused by unforeseen circumstances, such as supply chain disruptions, natural disasters, or customer delays in payment or site preparation.
6. VAT and Taxes
- Exclusion: The quoted price for all products and services excludes Value Added Tax (VAT) and other applicable taxes, which will be applied as per government regulations at the time of invoicing.
- Customer Responsibility: The customer is responsible for paying all applicable taxes, duties, or levies unless otherwise agreed in writing.
- Transparency: CoolSense will provide a detailed breakdown of taxes in the final invoice to ensure transparency.
7. Offer Validity
- Duration: The price quotation and associated terms are valid for 10 days from the date of submission.
- Extensions: Any extension of the offer validity period requires written consent from CoolSense.
- Changes: After the 10-day period, CoolSense reserves the right to revise pricing or terms due to changes in material costs, labor, or market conditions.
8. Work Order
- Issuance: To proceed with the supply, installation, or service of equipment, the customer must issue a final work order in the name of ‘Skl Corporation’, a sister concern of the Skl Group.
- Details: The work order must include the scope of work, agreed pricing, delivery location, and any specific requirements.
- Acceptance: CoolSense will confirm acceptance of the work order in writing, after which the terms of this agreement become binding.
9. Installation and Commissioning
9.1 Air Conditioners (HVAC Systems)
- Installation: CoolSense will provide professional installation services for HVAC systems, ensuring compliance with manufacturer specifications and industry standards.
- Commissioning: Post-installation, CoolSense will test and commission the system to confirm optimal performance.
- Customer Responsibilities: The customer must provide a suitable installation site, including adequate space, electrical supply, and access for technicians.
9.2 Generators
- Installation: Generators will be installed by trained technicians, with proper grounding, ventilation, and fuel system setup.
- Testing: CoolSense will conduct load tests and operational checks to ensure reliability.
- Customer Responsibilities: The customer must ensure a stable foundation, proper fuel supply, and compliance with local regulations.
9.3 Solar Solutions
- Installation: Solar panels, inverters, and batteries will be installed by certified technicians, with proper alignment and wiring for maximum efficiency.
- Commissioning: CoolSense will verify system performance, including energy output and grid connectivity (if applicable).
- Customer Responsibilities: The customer must provide a suitable rooftop or ground space, clear of obstructions, and ensure necessary permits are obtained.
10. Maintenance and Servicing
- Routine Maintenance: Customers are responsible for arranging and funding routine maintenance as specified for each product (every 4 months for HVAC, 6 months for generators and solar solutions).
- Service Requests: For non-warranty issues, customers may request maintenance or repair services from CoolSense at standard rates.
- Emergency Services: CoolSense offers emergency repair services for all equipment, subject to availability and additional charges.
11. Liability and Indemnity
- Limitation of Liability: CoolSense is not liable for indirect, consequential, or incidental damages, including loss of profits, arising from the use or failure of equipment.
- Indemnity: The customer agrees to indemnify CoolSense against claims arising from misuse, unauthorized modifications, or failure to follow maintenance guidelines.
12. Force Majeure
CoolSense is not liable for delays or failures to perform due to circumstances beyond its control, including but not limited to natural disasters, strikes, government regulations, or supply chain disruptions.
13. Dispute Resolution
- Negotiation: Any disputes arising from this agreement will first be addressed through good-faith negotiations between the parties.
- Jurisdiction: Disputes not resolved through negotiation will be subject to the exclusive jurisdiction of the courts in the country of operation, as per applicable laws.
14. Termination
- By Customer: The customer may terminate the agreement before delivery by providing written notice, subject to forfeiture of any payments made.
- By CoolSense: CoolSense may terminate the agreement if the customer fails to meet payment obligations or breaches these terms.
15. General Provisions
- Entire Agreement: These terms constitute the entire agreement between CoolSense and the customer, superseding any prior agreements.
- Amendments: Any changes to these terms must be agreed upon in writing by both parties.
- Severability: If any provision is found invalid, the remaining provisions remain in full force.
